Ascendo Resources is partnering with a wonderful client in Miami that is seeking an In-House Counsel that will support a broad range of banking and financial services matters. This role offers the opportunity to work within a dynamic international banking environment, advising on complex transactions, regulatory matters, and general legal support across the organization.

Key Responsibilities:

• Provide legal support for a variety of financing transactions, including bilateral, club, syndicated, participated, trade finance, and factoring deals.
• Advise on international banking services and financial products, with particular focus on U.S. regulatory compliance (e.g., Regulation S, Regulation R, Securities Act, Exchange Act).
• Review, draft, and negotiate commercial agreements including vendor contracts, referral agreements, NDAs, term sheets, and commitment letters.
• Support litigation matters, including responding to subpoenas and legal process inquiries.
• Ensure compliance with applicable U.S. banking regulations, including those enforced by the Florida Office of Financial Regulation, the Federal Reserve, Department of the Treasury, OFAC, and BSA/AML laws.
• Monitor and advise on privacy requirements under both federal and state laws.
• Work with industry-standard financial documentation, such as ISDA Master Agreements, LSTA templates, and BAFT forms.

Qualifications:

• Juris Doctor (J.D.) from an accredited U.S. law school and active membership in the Florida Bar.
• At least 5 years of experience practicing law in the U.S., including in-house counsel at a bank or financial institution and/or with a national/regional law firm.
• Fluent in Spanish, with strong communication skills in both written and spoken language.
• Strong understanding of the financial services industry and related regulatory landscape.
• Versatile legal generalist with transactional and regulatory experience.
